These Terms of Service ("Terms") govern your access to and use of the VU-QC platform, website, and services. By using VU-QC, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the VU-QC platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using VU-QC on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

VU-QC provides AI-powered construction quality control and intelligence services, including document analysis, design review, contract intelligence, RFI management, risk assessment, and surety readiness reporting. The platform processes uploaded documents to generate findings, recommendations, and structured data outputs.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must provide accurate and complete information during registration
• You must notify us immediately of any unauthorized access to your account

4. Acceptable Use

You agree not to use the VU-QC platform to:

• Upload content that infringes on intellectual property rights
• Attempt to reverse-engineer, decompile, or disassemble the platform
• Interfere with the security or operation of the service
• Use the service for any unlawful purpose
• Share access credentials with unauthorized parties

5. Data Ownership

You retain all ownership rights to your documents, project data, and content uploaded to VU-QC. We do not claim ownership of your data. We process your data solely to provide the services you request. AI-generated findings and reports derived from your data are provided to you as part of the service.

6. Service Availability

We strive to maintain 99.9% platform availability. We may occasionally perform scheduled maintenance, during which the service may be temporarily unavailable. We will provide advance notice of planned maintenance when possible.

7. Intellectual Property

The VU-QC platform, including its software, algorithms, design, branding, and documentation, is the property of VU-QC and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your business purposes.

8. Limitation of Liability

VU-QC provides AI-assisted analysis and recommendations. These outputs are intended to supplement, not replace, professional engineering judgment. VU-QC is not liable for decisions made based on platform outputs. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate the subscription in accordance with the applicable subscription terms. Upon termination, your access to the platform will cease. You may request export of your data within 30 days of termination.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification. Continued use of the service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
